Il presente lavoro prende in considerazione il rinnovato quadro della transazione fiscale (in ambito fallimentare) sotto il profilo penalistico. Il ruolo del Giudice è valorizzato dal nuovo istituto del cram down, che fa venir meno il dogma della disponibilità esclusiva del credito fiscale in capo all’Agenzia delle entrate.  Al contempo risulta potenziato il ruolo del professionista, che attesta la veridicità dei dati alla base della proposta transattiva.  Il reato proprio, a lui imputabile, è rubricato come “falsa attestazione” (art. 342 CCII), ascrivibile, secondo l’autore, all’area della falsità ideologica e come tale incompatibile con il dolo eventuale.  La fattispecie postula l’animus decipiendi dell’attestatore e, salvo casi eccezionali, la consapevolezza della finalità illecita del contribuente-imprenditore di sottrarsi al pagamento d’imposta (art. 11 comma 2 D. Lgs. 74/2000).  I due soggetti concorrono nello stesso fatto, meritevole, secondo l’autore, della sola pena del reato più grave, in virtù del principio di consunzione.

This paper examines the renewed framework of the tax settlement (transazione fiscale) in insolvency proceedings from a criminal-law perspective. The role of the court has been enhanced by the introduction of the cram down mechanism, which dispels the traditional assumption that tax claims are exclusively at the disposal of the Italian Revenue Agency (Agenzia delle Entrate). At the same time, the role of the insolvency professional has been strengthened, as the professional is required to certify the truthfulness of the data underlying the proposed tax settlement. The specific offence applicable to the professional is classified as “false certification” (falsa attestazione) under Article 342 of the Italian Insolvency and Crisis Code (Codice della crisi d’impresa e dell’insolvenza – CCII). According to the author, the offence falls within the category of intellectual falsehood (falsità ideologica) and is therefore incompatible with dolo eventuale (conditional intent). The offence requires the certifier to act with animus decipiendi and, save in exceptional cases, to be aware of the taxpayer-entrepreneur’s unlawful purpose of evading the payment of taxes, as contemplated by Article 11(2) of Legislative Decree No. 74/2000. The two parties thus contribute to the same criminal conduct, which, in the author’s view, should be subject solely to the penalty prescribed for the more serious offence, pursuant to the principle of absorption (principio di consunzione).
